This Confidential Investment Memorandum (‘CIM’) is the Property of Three Shores Management Ltd. and its subsidiaries (“Three Shores”), and is the product of the expenditure of considerable effort and resources. The information and ideas contained herein derive value from the fact that they are not generally known within the real estate financial industry and are, as such, trade secrets and confidential information. Out of commercial necessity, we must provide copies of this CIM to potential investors and are, therefore, vulnerable to the unauthorized disclosure to the public of the information contained herein. To protect its interests, Three Shores carefully controls, limits and records the distribution of the information contained in this CIM. Accordingly, this CIM is provided in strict confidence and may only be used for the limited purpose for which it is disclosed and must be returned upon request. It is expected that the recipient of this CIM will take such care that an owner of such information would reasonably be expected to employ for its own benefit. This CIM is being provided to a limited number of accredited investors for the purpose of providing certain information about an investment in limited partnership interests (the “Interests”) in Fort Street Assembly Limited Partnership (the “Partnership”).

Without limitation, any full or partial disclosure, copying, dissemination, reproduction or reduction to writing of any kind of this CIM is strictly prohibited, unless expressly authorized in writing by an authorized signatory of Three Shores. Unauthorized copies of this CIM are the Property of Three Shores and must be delivered to Three Shores forthwith upon request. While Three Shores believes that the information is current and correct as of the date of this CIM, it makes no representations or warranties as to the accuracy of the information contained herein. Similarly, Three Shores assumes no obligation to provide to the recipients of this CIM updated information subsequent to the date of this CIM.

Each prospective investor accepting this CIM is also deemed to accept and acknowledge that they represent and warrant to the General Partner (FORT STREET ASSEMBLY GP LTD. ) that they are an “accredited investor” as defined in NI 45-106 or section 73.3 of the Securities Act (Ontario), on the basis that they fit within the category of accredited investor which they have indicated in the Accredited Investor Certificate.
